Terms of Service

Subject to your timely payment of the applicable fees, Nurion grants you a non-exclusive, non-transferable, revocable right to access and use the products you have subscribed to (Nurion Desk, Meet, Funnel, and any add-ons listed on your order) for your internal business purposes during the subscription term.

The subscription is per organization. Seats and usage allowances are set out in the plan you select.

Subscriptions are billed in EUR via Mollie B.V. (SEPA Direct Debit, credit card, and other Mollie-supported instruments). Monthly plans are charged in advance for each calendar month; annual plans are charged in advance for the full term. All fees are exclusive of VAT unless stated otherwise; VAT is applied per EU rules and reverse- charged where applicable.

Failed payments enter a 14-day grace window before access is suspended.

You will not (a) resell, sublicense, or provide the service as a managed offering to third parties, (b) reverse-engineer, decompile, or attempt to extract source code from the service, (c) run competitive benchmarking and publish the results without our prior written consent, (d) submit malicious code or attempt to compromise the security of the service, or (e) use the service in a way that violates applicable law or the rights of any third party.

You retain all right, title, and interest in the data you submit to the service ("Customer Data"). You grant Nurion a worldwide, non-exclusive, royalty-free licence to host, process, and transmit Customer Data solely as necessary to provide the service to you.

Nurion retains all right, title, and interest in the service, including all software, models, and documentation. Feedback you provide may be used by Nurion without restriction.

The service produces AI-generated content (transcripts, summaries, drafts). AI output may be inaccurate, incomplete, or biased. You are responsible for reviewing AI output before relying on it for any decision with material consequences (Art. 14 EU AI Act). Nurion does not warrant the accuracy or fitness of AI output for any particular purpose. See our AI Act compliance page for transparency disclosures.

Each party will treat the other's non-public business information as confidential and will not disclose it to third parties for three (3) years after the end of the subscription, except to its professional advisers under equivalent confidentiality duties or where disclosure is required by law.

To the maximum extent permitted by law, Nurion's aggregate liability under these Terms is limited to the fees you paid in the twelve (12) months preceding the event giving rise to the claim.

The cap above does not apply to (a) liability for intent or gross negligence under § 276 BGB, (b) liability for personal injury, (c) fraud or fraudulent misrepresentation, (d) breach of confidentiality obligations under section 6, or (e) any other liability that cannot be limited by law.

Neither party is liable for indirect, incidental, consequential, special, or punitive damages, lost profits, or loss of data, except where such liability cannot be excluded by law.

The subscription starts on first payment and continues for the term on your plan. Monthly plans may be cancelled at any time, with access continuing through the end of the then-current calendar month; no refunds are issued for unused days within a paid month.

Annual plans renew automatically at the end of each twelve-month term unless cancelled at least thirty (30) days before the renewal date. Mid-term cancellation of an annual plan does not entitle you to a refund except where Nurion is in material breach and has failed to cure within thirty (30) days of written notice.

Either party may terminate for material breach with thirty (30) days' written notice and an opportunity to cure.

Nurion targets 99.5% monthly availability for the production service, excluding scheduled maintenance and force majeure. This target is operational, not contractual; no service credits are offered under self-serve subscriptions.

Processing of personal data is governed by the Data Processing Agreement, which forms an integral part of these Terms. In case of conflict between these Terms and the DPA on matters of data protection, the DPA controls.

We may update these Terms by giving you at least thirty (30) days' notice by email or in-product notice. Continued use of the service after the effective date of the updated Terms constitutes acceptance. If you do not agree, you may cancel the subscription before the effective date with a pro-rata refund of any pre-paid fees for the remainder of the term.

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive venue for disputes is Bremen, Germany, where permitted by law.
